Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Orbital, a personal relationship management application operated by Moonshot.la LLC ("we," "us," or "our"). By creating an account or using Orbital, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Description of Service

Orbital is a personal CRM tool that helps you organize and maintain your relationships. The service allows you to import contacts from third-party providers (such as Google), organize them into orbital rings based on communication frequency, and track interactions. Orbital is currently in private beta and available by invitation only.

3. Eligibility

You must be at least 18 years old to use Orbital. By using the service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

To use Orbital, you must create an account using either an email address and password or a supported third-party authentication provider (e.g., Google). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to:

  • Use Orbital for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the service
  • Interfere with or disrupt the service or servers connected to it
  • Reverse engineer, decompile, or disassemble any part of the service
  • Use the service to store or transmit malicious code
  • Share your invite code or account access with unauthorized parties
  • Use Orbital to stalk, harass, intimidate, threaten, or surveil any individual
  • Use contact information, interaction history, AI insights, or any data obtained through Orbital to engage in unwanted, obsessive, or predatory behavior toward any person
  • Use Orbital to facilitate any form of abuse, coercion, manipulation, or controlling behavior in any relationship
  • Collect or aggregate information about individuals through Orbital for purposes of intimidation, blackmail, discrimination, or any other harmful intent
  • Use Orbital's AI features, social listening, enrichment tools, or contact intelligence to monitor individuals without legitimate personal or professional relationship purposes

6. User Responsibility for Relationship Conduct

Orbital is a tool designed to help you nurture and maintain healthy, meaningful relationships. You bear sole and absolute responsibility for how you use this tool and for all interactions you pursue as a result of using it.

By using Orbital, you expressly acknowledge and agree that:

  • You are solely responsible for all actions you take based on information, reminders, suggestions, or AI-generated insights provided by Orbital. The service provides tools and information — how you act on them is entirely your responsibility.
  • Orbital does not endorse, direct, or control your interactions with any individual. Any outreach, communication, or contact you initiate is your decision alone.
  • You will respect the boundaries of every person whose information you store in Orbital. If any individual asks you to stop contacting them, you must immediately comply regardless of any reminders or suggestions from the service.
  • You will not use Orbital as a tool for stalking, surveillance, or harassment under any circumstances. Tracking contact patterns, monitoring social activity, enriching personal data, and receiving AI-driven insights are features intended exclusively for maintaining healthy relationships — not for obsessive monitoring or unwanted pursuit of any individual.
  • Any misuse constitutes a material breach of these Terms. We reserve the right to immediately and permanently terminate your account, without notice or refund, upon any indication of harassment, stalking, abuse, or other harmful conduct facilitated through the service.

Moonshot.la LLC expressly disclaims all liability for any harm, damages, legal consequences, or claims arising from your conduct toward any individual, whether or not such conduct was informed by data, suggestions, or features provided by Orbital. You agree to indemnify, defend, and hold harmless Moonshot.la LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to your misuse of the service or your conduct toward any third party.

You acknowledge that violations of this section may constitute criminal offenses under applicable law, including but not limited to stalking statutes, harassment laws, and privacy regulations. We reserve the right to cooperate fully with law enforcement authorities in the investigation of any such conduct, including the disclosure of your account data and usage history upon lawful request.

7. Your Data

You retain ownership of all data you provide to Orbital, including contact information and organizational preferences. We do not claim ownership of your data. You grant us a limited license to use your data solely to operate and improve the service. You may delete your account and all associated data at any time from your profile page.

8. Third-Party Integrations

Orbital integrates with third-party services such as Google to import your contacts. When you connect a third-party account, you authorize us to access certain data from that service in accordance with the permissions you grant. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

9. Intellectual Property

The Orbital name, logo, and all associated software, designs, and content are the property of Moonshot.la LLC and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the service without our prior written consent.

10. Service Availability

Orbital is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue the service at any time, with or without notice. We may also revoke access during the beta period at our discretion.

11. Limitation of Liability

To the fullest extent permitted by law, Moonshot.la LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Orbital, including but not limited to loss of data, loss of profits, or interruption of service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Disclaimer of Warranties

We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your requirements or that any data will be accurate or complete.

13. Termination

You may delete your account at any time from your profile page. Deleting your account permanently removes all your data, including contacts, orbitals, notes, uploaded files, social signal data, and connected service records.

We reserve the right, at our sole and absolute discretion, to suspend, restrict, or permanently terminate your account and access to Orbital at any time, for any reason or no reason, with or without notice. This includes, but is not limited to, situations where we receive a complaint from any third party, observe or suspect misconduct, determine that your use of the service is inappropriate, or simply decide that continued access is not in the best interest of our platform or community. We are under no obligation to investigate, provide evidence of, or justify any such decision.

Upon termination, your right to use the service ceases immediately. You shall have no claim, recourse, or right to compensation arising from the suspension or termination of your account, regardless of the reason. Any data associated with your account may be permanently deleted at our discretion following termination.

14. Account Delinquency

If your account becomes delinquent due to payment failure, expired payment method, non-renewal, or any other billing issue, we may, at our sole discretion, maintain your account in a suspended or restricted state for a reasonable grace period as determined exclusively by us. During this period, your access to some or all features of Orbital may be limited or disabled.

We are under no obligation to maintain, preserve, or store your account or any associated data during or after any period of delinquency. If the delinquency is not resolved within the grace period we determine — or at any point thereafter — we reserve the right to permanently delete your account and all associated data, including contacts, orbitals, notes, uploaded files, social signal data, interaction history, and any other information stored in connection with your use of the service. Such deletion is irreversible.

You acknowledge that it is your sole responsibility to maintain valid and current payment information, to resolve any billing issues promptly, and to export or back up any data you wish to retain before your account becomes delinquent. Moonshot.la LLC shall bear no liability for any data loss resulting from account delinquency or subsequent deletion.

15. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the service or by email. Continued use of Orbital after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in California.
